Definitions

The "Buyer" (“The Client”, "You" or "Your") means (or refers to) the Account Applicant or person who buys or agrees to buy Goods or Services from the Seller.

The "Seller" ("Novadata" / "We" / "Us"/ "Our") means (or refers to) Novadata Tachograph Analysis Bureau Ltd (or Novadata TAB Limited) a company registered in England with number 2817899 of 4 Blackwell Drive, Braintree, Essex CM7 2QJ.

"Conditions" means the Terms and Conditions of Sale set out in this document and any special conditions agreed in writing by the Seller.

Tachograph Analysis Service

Once subscribed to the Novadata Tachograph Analysis Service, Novadata TAB Ltd, upon receipt of your tachograph data, will continue to provide the analysis service until such time as the client ceases providing tachograph information. See Payment Terms.

Where the free trial is applicable, digital data (for a maximum of 5 drivers’ and 5 vehicles’), sent within the 14 days of the trial, will be analysed free of charge. Any data uploaded after the trial period will be chargeable and an invoice will be raised accordingly. 

Driver Licence Check Service

Once subscribed to the Novadata Driver Licence Check Service, Novadata TAB Ltd, upon receipt of your driver mandates or e-mandates, will continue to provide the license check service for as long as you require this service. See ‘Payment Terms’.

Please be aware you will need to contact us if you wish to disable the automatic checks for your drivers.

Vehicle Walkaround Check App

Once subscribed to the Novadata Walkaround Check App Service, Novadata TAB Ltd, upon receipt of any information provided via a registered user or in respect of a registered vehicle, the check service until such time as you cease providing any such information. See ‘Payment Terms’.

Where the free trial is applicable, unlimited walkaround checks carried out on a maximum of 2 vehicles within the 14 days of the trial, will be uploaded free of charge. Any checks carried out after the trial period will be chargeable and an invoice will be raised accordingly.

Fleet Management Service

Once subscribed to the Novadata Fleet Management Service, Novadata TAB Ltd, will provide you with access (via a secure login) to your vehicle fleet management information for as long as you require this service. See ‘Payment Terms’.

Where the free trial is applicable, the service is provided for a maximum of 2 vehicles, free of charge, for the period of the14 days. After the trial period, charges will apply, and an invoice will be raised accordingly. 

Remote Downloading and Tracking Services

Novadata-supplied devices, that automate the downloading of digital tachograph data (both driver and vehicle), typically require a sim card and mobile data tariff in order to function.

Where a client opts to use a Novadata-supplied sim (and mobile data tariff) it is provided on an annual basis with an annual charge*. See ‘Payment Terms’ below.

*This charge is reviewed annually and may be subject to an increase.

These devices are either fitted in a vehicle (providing both a remote download function and, if required, a vehicle tracking/ monitoring service) or are installed in the workplace to enable drivers to download their digital tachograph card and, if applicable, the data from vehicle tachograph unit.

Data usage levels are monitored and, where appropriate, Novadata will advise if the current data tariff is no longer sufficient and will advise of a more suitable tariff to meet your requirements (which will be subject to a price change).

In addition to the annual charge review, Novadata reserves the right to amend these tariff terms and charges at any time. Additionally, we may impose a surcharge on usage that we reasonably believe is excessive or where it continually exceeds the specified limit.

Novadata reserves the right to suspend or terminate this service if additional costs or surcharges are not met accordingly.

Payment Terms

Prices as per quotation provided¹.

The preferred method of payment for these services is by Direct Debit.

Payment must be received within 28 days from the invoice date for service provision to continue².

All services detailed above are provided on a pay-as-you-use basis, with no fixed duration terms. Any service will terminate when: you (the client) stop sending data (or information) to Novadata TAB Ltd; or you make a written request to the effect; or you fail to comply with our payment terms (detailed above)².

¹Novadata TAB Ltd reserves the right to vary prices or change payment terms at any time. Notice will be provided before any changes take effect.

²In the event of any dispute, Novadata TAB Ltd reserves the right to suspend any account until a settlement is reached.

Whilst Novadata TAB Ltd makes every attempt to ensure the reliability of the information when using the Novadata Tachograph Analysis service, you (the client) should not assume that the reports are error-free or that they will be suitable for the particular purpose which you have in mind when using them. Novadata TAB Ltd assumes no responsibility for errors or omissions in the reports or other documents which are referenced by or linked to them and are not responsible for the content of external websites, where used or indicated therein.
